The Role at a Glance:

Reporting to the CEO, the General Counsel advises the CEO, Board of Directors, and leadership team on laws, regulations, SEC compliance, public policy, corporate governance, ethics and risk. This individual proactively identifies legal risk and provides oversight on legal issues in all departments and their interrelation, including engineering, marketing, sales, distribution, credit, finance, human resources and production, as well as corporate governance and business policy. The General Counsel participates in leadership discussions of complex problems and creative solutions.


What you'll be doing:

  • Oversee the day to day operation of the legal department This includes creating, reviewing, and negotiating agreements (partnership, employment, vendor, customer, warranty, environmental), contracts, and settlements.
  • Direct all SEC compliance activities.
  • Advise and update senior management and the Board on new laws, effective corporate governance, and best practices relevant to the current and future viability of PSI.
  • Hire, train, coach, and manage PSIs legal team establishing performance standards, evaluating individual and team performance, ensuring company policies are adhered to, and meeting leaderships goals using PSIs IMPACT values (Innovation, Motivation, Passion, Accountability, Communication, Trust).
  • Cultivate and manage outside counsel engagements related to projects, cases, and initiatives needing specialized legal services. Help identify legal partners and monitor and evaluate performance with a focus on successful outcomes, mitigating risk, and managing costs.
  • As an internal control owner, act as lead in developing, maintaining, and documenting processes to ensure the timely and accurate completion of assigned SOX internal controls to comply with legal and regulatory requirements.
  • Oversee the prosecution and defense of PSI litigation.
  • As an officer of the company, interact with Board of Directors, CEO, and Executive Leadership Team acting as a financial steward, ethical ambassador, and principled leader.
  • Provides legal guidance relevant to a publicly traded company selling EPA certified engines in a global market, including Public fillings, annual shareholder meetings, SOX controls, EPA regulations and international trade issues.
  • As an internal control owner, act as lead in developing, maintaining, and documenting processes to ensure the timely and accurate completion of assigned operations verified by effective internal controls to comply with SOX, legal, and regulatory requirements.

What we're looking for:
Must haves:

  • Juris Doctorate (J.D.) degree
  • Previous experience in a public company environment with SEC reporting and compliance
  • Deep subject matter expertise in a variety of legal fields including at least several of the following: securities law, employment law, tax law, litigation, emissions compliance, corporate law and warranty law
  • An effective communicator skilled at negotiation and demonstrates influence as someone whose advice is proactively sought and heeded by all areas in the business while reinforcing what’s best for the company
  • Demonstrated ability to recruit, train, coach, and manage a high performing legal team seamlessly integrated with outside counsel expertise

Nice-to-Haves:

  • Previous associate or partner experience at a major law firm serving publicly traded companies
  • Litigation or oversight of litigation experience
  • Understanding the legal implications of doing business globally, especially as relates to supplier, customer, regulatory, and employment issues
  • Experience at or providing outside counsel for an engineering design and manufacturing company, ideally in the automotive industry with U.S. EPA, California ARB, and global emission compliance
  • Licensed in Illinois, Wisconsin, and/or Michigan a plus
  • Strong business knowledge and financial acumen
