PURPOSE (Brief, concise statement of expected results: the reason the position exists):
This position is a critical member of the Gentex legal team. Enterprise-wide expert on U.S. Government and Department of Defense contracting and is responsible for providing guidance on all U.S. Government contracting matters to the Executive Team, including FAR/DFAR matters. Enterprise-wide expert on sale of goods and services contracts to OEMs and international governmental entities. Manages the entire life cycle for all U.S. Government, DoD, OEM, and international government sales contracts. Supports the procurement team with necessary flow down clauses and other expertise. Establishes highest-level contract policies and processes to ensure achievement of corporate expectations. Drives implementation of strategic contract opportunities with the most significant impact to the corporation. Participates in development of source selection procedures and process, make or buy determinations, and risk management directives. Provides career development and training opportunities for contract professionals. DUTIES/RESPONSIBILITIES (List the essential functions of the position, i.e., what incumbent is required to do, not how it is done): ESSENTIAL FUNCTIONS:


  • Responsible for the overall life cycle management of all U.S. Government contracts, and contracts for the sale of goods with commercial entities and non-U.S. governments.
  • Participate as a senior reviewer in proposal milestones, color team reviews and PMRs.
  • Participate in Gentex Executive Team meetings to drive customer engagement and revenue growth strategies.
  • Provide contractual leadership and resources to Business and Value Stream Teams, including providing expert advice and interpretation of FAR/DFAR, legal, contract, and subcontract terms and conditions to minimize risk and potential liabilities.
  • Manage enterprise risk levels in sales contracts. Participate in proposal/price reviews.
  • Interface with DCMA and DCAA and maintain compliant business systems to retain government approval and Gentex’s ability to do business.
  • Develops and implements internal policies and procedures for contract development, review and maintenance.
  • Manages contract administration staff and provides guidance on complex contracts.
  • Handles change management, problem resolution, disputes, terminations and contract close-out for contracts
  • Assists in the negotiation of contract terms and assessment of contract proposals
  • Defines training and ensures contracts staff are able and competent to meet job requirements.
  • Develops, implements and audits enterprise-wide policies and procedures relating to the contracts area, including risk mitigation, compliance, governance and administration.
  • Advises senior leadership in a clear, coherent and concise manner on all phases of the contracts life cycle.
  • Escalates issues, as appropriate, to internal Gentex legal counsel and senior leadership.
  • Stays current on law, regulatory and rules developments and disseminates this information regularly to key stakeholders.
  • Identifies ongoing process improvements and helps lead implementation.
  • Is a liaison in the organization between departments to close gaps between written procedures and execution. Helps lead remediation efforts in this area, if needed.
  • Monitors performance on contracts, and audits to ensure compliance throughout the enterprise.
  • Prepares and issues periodic reports, statements and plans regarding essential activity relating to customers, the business and the company’s financial interest.
  • Participates in internal and customer business management reviews focused on contractual issues.
  • Contribute to strategic planning and implementation with senior leadership.
  • Leads ad hoc projects on a case-by-case basis, as requested by senior leadership.
Requirements:


EDUCATION AND/OR PROFESSIONAL LICENSE(s):

A Bachelor’s degree is required. An MBA or law degree is highly preferred for this position.

EXPERIENCE:

Seven (7) to (10) years of directly related experience in an aerospace/defense or equivalent regulatory contracting environment is required. FAR/DFAR/CAS/TINA expertise, and in-depth knowledge of DOD policies and practices is essential. Commercial and international contract law, UCC knowledge is essential. Demonstrated success in leading a contracts team.

Individual should be able to adapt to a variety of business situations, quickly identify and address critical issues, and influence business decisions. The individual should have excellent communication and interpersonal skills (both written and oral) and be comfortable with and willing to work with cross-functional teams. The individual will be self-motivated, and able to work independently but also collaboratively with a large group of personnel across the enterprise. The individual should have the ability to work efficiently, meet demanding deadlines, and balance multiple tasks in a fast-paced environment. The individual shall be pro-active and ethical, with the ability to support corporate goals in a complex regulatory and multi-national corporate environment. The individual should also have good computer skills, including experience with Microsoft programs. The individual will be capable of obtaining a secret security clearance.

Supervises Contracts Department personnel

CONTACT WITH OTHERS:

The individual interacts with all departments and locations within the corporation on a frequent basis including all members of the company’s executive management team.

PHYSICAL/MENTAL/COMMUNICATION REQUIREMENTS:

Employee is occasionally required to stand; walk; sit; and talk and hear. The individual must have a high level of comprehension, and a high level of general, verbal, and numerical intelligence.

WORK ENVIRONMENT:

Works majority of the day in a climate-controlled environment, with the exception of occasionally performing work in the factory/warehouse, which is subject to moderate changes in temperature.
