Location: San Diego - Remote

This position will provide effective counseling, drafting, review and negotiation of a broad range of purchasing, marketing and sales agreements.

STATEMENT OF THE JOB:
Working under the supervision of the Chief Commercial Counsel, your principal duties will be to:

Provide transactional legal support and coordination for the U.S. contract managers and sales teams

Review, draft and negotiate agreements, letters and other documents, including those relating to sales/licensing/as a service to end-user customers, relationships with partners, or purchases from vendors

Review and draft responses to customer-proposed terms and conditions contained in requests for proposals, invitations to bid and related documents

Advise clients on commercial contracting issues

Oversee compliance with applicable internal policies and laws, rules and regulations

Assist in developing contracting policies and contract templates

Assist in due diligence for M&A activities

Develop strong strategic relationships with as well as provide training to clients

Perform other duties and responsibilities as directed

QUALIFICATIONS:
Qualified candidates will have a JD from an ABA accredited law school and 3 to 10 years of law firm or in-house experience with commercial contract drafting experience preferred. The ideal candidate should have experience with technology contracts, including reviewing, negotiating and drafting software licensing agreements, IT sales agreements, cloud and software as a service agreements and service/consulting agreements. Candidate must be consistently available to work in the Mountain and Pacific time zones. This position can be virtual or located in Teradata’s San Diego office. Candidates must be eligible to become to practice law in their location.

The ideal candidate will also have a drive to conclude deals, managing multiple deals from beginning to end and understands how to balance legal risks with business objectives and successfully get deals closed.
