POSITION SUMMARY:

The Contracts Specialist is responsible for a wide variety of contracting duties, including drafting and negotiating contracts, memorandums of understanding, addendums, amendments and interagency agreements. This position is also responsible for preparing reports, maintaining contract records, and monitoring timelines and key performance indicators.

The Contracts Specialist works independently on assigned tasks and reports to the General Counsel & Compliance Officer. Work is performed in a professional office setting and in a team environment.

MINIMUM REQUIREMENTS

  • Bachelor’s degree in Business, Business Administration, or related field of study or a combination of experience and training that provides the equivalent scope of knowledge, skill, and technical ability to properly perform the work as described
  • Three or more years of experience drafting and negotiating contracts
  • Excellent communication and negotiation skills, and a broad knowledge of legal terminology and contract styles
  • Proven experience in all phases of contract lifecycles; experience with contract management software is highly desired
  • Excellent written and verbal communication skills
  • Valid California Driver’s license, proof of insurance and personal transportation

SPECIFIC DUTIES:

  • Develop contracts and terms consistent with organization guidelines and objectives.
  • Manage contract development through all lifecycle stages, including draft, revision, approval, filing, distribution, renewal, and termination.
  • Ensure that insurance and bonding requirements are met, and internal processes and records are maintained.
  • Negotiate contracts and agreements, including non-disclosure agreements, professional services contracts, consulting agreements, construction contracts, sales contracts, terms of service, and vendor contracts.
  • Conduct analysis of proposed and existing contracts and implement recommendations.
  • Oversee contract administrative follow-through, including training staff on the contract approval process and the organization’s strategy and procedures.
  • Oversee the identification, research, and resolution of contractual issues.
  • Assist in developing contracting strategies that mitigating associated risk and meet all regulatory standards.
  • Collaborate with a range of CMC teams, including all clinical and administrative staff.
  • Create, maintain, and distribute periodic and ad hoc reports.
  • Develop and maintain body of contract templates, playbooks, and processes.
  • Develop and implement process to maintain supplementary documentation related to established contracts and those in progress.
  • Communicate and present information to stakeholders regarding all contract-related matters.
  • Provide on-going assistance to staff on contract issues.
  • Research, comprehend and draft complex contract terms and conditions.
  • Organize and successfully complete a variety of contract-related responsibilities for complex projects.
  • Gather and prepare all contracts and related document for site visits and audits performed by regulatory agencies and other external parties.
  • Perform other duties as assigned.

TYPICAL PHYSICAL DEMANDS:

Requires prolonged sitting, some bending, stooping, and stretching. Requires eye-hand coordination and manual dexterity sufficient to operate a keyboard, photocopier, telephone, calculator, and other office equipment. Requires lifting papers or boxes up to 25 pounds. Requires dexterity to word process at 70 wpm.

TYPICAL WORKING CONDITIONS:

Work is performed in an office environment. Involves frequent contact with staff and the public. Work may be stressful at times. May be required to work evenings and/or weekends.
