Responsibilities
- Review and may lead in developing key terms in inbound agreements and efforts to optimize contract language including but not limited to master component purchase agreements, master professional services agreement, complex engineering statement of work, software licensing agreement, etc.
- Foster and develop a strong relationship with Sourcing Specialists, Legal, and other partners.
- In conjunction with the Infrastructure Sourcing teams, Legal and subject matter experts, ensure all standard and team-specific terms and conditions are proper to support business requirements, and lead where necessary to address any changes or impact to the business.
- Lead/partner with cross-functional teams to ensure compliance with policies and practices, and that contract policies and processes scale with changing business requirements.
- Structure, draft, and lead/partner on negotiations both independently and in collaboration with Sourcing Specialists, Legal or other cross-functional partners.
- Act as primary liaison to Legal, supporting legal strategy, and assessing and mitigating risk.
- Map all executed agreements against the current templates, and lead in the agreement research, assessment of terms, and resolution of issues, as needed.
- Proactively contributes to the continuous development and improvement of the team and related processes, including but not limited to further developing the Contracts Specialist role and responsibilities.
- Partner with Sourcing Specialists to define, establish, and manage agreement process SLAs that meet or exceed the needs of the business for the area assigned.
- Develop and provide on-going contracts-related training to personnel.
- Use contracts-related tools to manage the contracts lifecycle, and provide inputs to identify and drive tooling enhancements to improve efficiency, accuracy and ease of use.
Min Qualifications
- 6+ years of experience negotiating and drafting inbound agreements.
- Project administration/management.
- Knowledge of supply chain/commercial agreements.
- Demonstrated experience in influencing and leading stakeholders and business partners.
- Demonstrated ability to adapt and execute in a fast-paced and ambiguous environment.
- Strong problem-solving and communication experience.
- Strong knowledge of legal terms and commercial concepts including, but not limited to: epidemic defect, cancellation and returns, product and services warranties, IP ownership, inventory liability issues, continuity of supply and right to ship.
- Experience in negotiating with domestic and foreign supplier companies and multi-national firms.
- Demonstrated experience of streamlining contractual processes.

- Juris Doctor
- Experience with drafting and negotiating inbound agreements supporting development and manufacturing of server components for data center operation, including custom silicon (e.g., master component purchase agreement, master professional services agreement, statement of work, software licensing, IP core licensing, etc.)
